Colin Breeze founded Breeze Ventures Management, LLC in 2004. He brings deep private equity transactional and fund formation experience, expertise in Russian political economy, and access to CIS-focused private equity funds.
Through BVM, Colin has advised multiple investment sponsors and has taken a leading role in the development and implementation of alternative investment vehicles organized in the Cayman Islands, Guernsey, British Virgin Islands and multiple US jurisdictions, and has implemented asset management and holding structures via BVI, Cayman, the Netherlands, Guernsey and Cyprus.
Before forming BVM, Colin practiced law with WSGR and with Cadwalader, advising private and public companies and private equity funds in all aspects of their organization: capital raising, reporting, investor relations, transactions, intellectual property protection, governance and transparency. Colin remains an active member of the California and New York bar associations.
Colin has specialized in Russian and post-totalitarian political economic development since 1995 when he was a Fellow with the Center for the Study of Constitutionalism in Eastern Europe at the University of Chicago.
Colin participates in analyzing direct and co-investment opportunities owing to specialized skills in value creation, deal structuring, and due diligence.
Colin specializes in all areas of corporate, securities and partnership transactions, including the formation and financing of companies, public offerings, debt transactions, corporate governance and investor-side financings. Colin’s experience spans the entire business life-cycle, including strategic decisions and coaching prior to company or fund formation, business development, growth stage financing, initial public offerings and mergers and acquisitions.
In particular, Colin’s experience in fund formation and management includes the structuring, organization and operation of venture capital and private equity funds and their general partners and related management company entities. Colin advises funds on all aspects of their operations, including the preparation of offering materials, the fundraising process, negotiations with investors, and investments and divestments from the portfolio.
